Makepad Commercial License

In short: you may download, compile, run and change the Makepad apps you have a license or beta access for, including with AI coding agents, for your own use. You may not share, distribute or sell them, changed or unchanged. Whatever a changed version does is your responsibility. They come as they are, without warranties, and our liability is limited as far as the law allows.
This summary is for convenience; the terms below are what count.
1. Who and what
This license is between Makepad B.V. ("Makepad", "we", "us") and you, the person or organization whose email address has access to one or more Makepad commercial apps ("you"). "Software" means the source code, build files, assets and documentation of those apps as we deliver them, including updates, and every program built from them. Delivery happens through the Makepad Builder.
2. What you may do
For as long as your access lasts, we grant you a non-exclusive, non-transferable license to:
- download the Software and compile and run it on computers you or your organization control;
- read, modify and extend the Software, by hand or with AI coding agents and other tools ("vibecoding" included), and run your modified versions;
- use the Software, modified or not, for your own work and your organization's internal work, including commercial work.
3. What you may not do
- distribute, publish, share, upload or otherwise make the Software available to anyone outside your organization, in source or compiled form, modified or unmodified, in whole or in part;
- sell, rent, lease, sublicense or give away the Software, or products or services that consist of or contain it;
- offer the Software to third parties as a hosted or online service;
- share your access email or downloads with people who do not have their own access;
- remove or change copyright, license or other notices in the Software;
- use the Software to build a product that competes with it by copying substantial parts of it.
You may give an AI coding agent or tool access to the Software to work on it for you. That is not distribution, but you are responsible for choosing tools that do not publish or redistribute it.
4. Your changes
Changes you make are yours, but because they are built on the Software they fall under this license: you may use them yourself and within your organization, not distribute them. If you send us feedback or suggestions, we may use them freely.
Changed software is your responsibility. Once you, an AI coding agent or any other tool changes the Software, what the changed software does is entirely your responsibility, not ours. This covers the code an agent writes, the commands it runs on your computer, and every effect of running the result, including on your data, your files, your hardware, other software, your accounts and third parties. Review what your agents do before you rely on it. We do not support, and are not liable for, modified versions of the Software.
5. Beta access
Software offered as beta access is pre-release. It may be incomplete, change, stop working or be withdrawn at any time, and we may end beta access at any time.
6. Open source and third-party parts
The Makepad open source repository and other open source components keep their own licenses, which take precedence for those parts. Tools the Builder installs, such as Rust, the Microsoft C++ Build Tools and Windows SDK, and NVIDIA CUDA, are licensed to you directly by their makers under their own terms.
7. Ownership
The Software is licensed, not sold. We and our licensors keep all rights, title and intellectual property in it, except for the rights this license grants you.
8. Ending the license
Your license ends when your access ends or when you breach this license. When it ends you must stop using the Software and delete it, including your modified versions, except where the law requires you to keep copies.
9. No warranty
The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation. You use it at your own risk. This includes compiling and running it, changes made by you or by AI tools, AI features, and its heavy use of your graphics hardware, which on old hardware or with faulty drivers can make your computer crash or restart.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits, revenue, business or goodwill, or for damage to hardware or other software, however caused and on any theory of liability, even if we were told such damage was possible. Our total liability for all claims relating to the Software is limited to the amount you paid us for it in the twelve months before the claim, or fifty euros if you paid nothing.
Nothing in this license limits liability that cannot be limited by law, such as liability for intent or gross negligence where the law does not allow it to be excluded.
11. General
This license is governed by the laws of the Netherlands, and disputes go to the competent court in the Netherlands. If a part of this license is unenforceable, the rest still applies. We may publish new versions of this license; a new version applies to updates you download after it is published. Questions: contact us through makepad.nl.
